Terms of Service
These Terms govern your use of Citality, an AI search visibility tracking service operated by Otron Pty Ltd ("Citality", "we", "us"). By creating an account or using the service you agree to these Terms. If you don't agree, don't use Citality.
1. The service
Citality lets you run prompts against third-party AI models (such as ChatGPT, Claude, Gemini and Perplexity) and reports whether and how your brands are mentioned, along with related competitor and citation data. Features and limits depend on your plan.
2. Accounts
You must provide accurate information and keep your login credentials secure. You are responsible for activity under your account. Notify us promptly of any unauthorised use.
3. Plans, billing and cancellation
- Paid plans are billed in advance on a monthly or annual basis through Stripe. Annual plans are offered at a discount to the equivalent monthly rate.
- Subscriptions renew automatically at the end of each billing period until cancelled.
- You can cancel at any time; your plan remains active until the end of the current paid period, after which your account reverts to a limited (read-only) tier.
- Except where required by law, fees already paid are non-refundable, including for partial periods.
- Prices are in US dollars and exclusive of any applicable taxes. We may change prices with reasonable notice; changes take effect at your next renewal.
- Free trials give limited access and require no card; we may modify or end trials at any time.
4. Usage limits and fair use
Each plan includes limits on client brands, prompts and AI checks. A "check" is one prompt run against one model (some models count as more than one check). We may meter, throttle or pause activity that exceeds your plan, and may charge overage where your plan provides for it.
5. Acceptable use
You agree not to:
- use Citality for any unlawful purpose or to infringe others' rights;
- attempt to disrupt, reverse engineer, or gain unauthorised access to the service;
- resell or provide the service to third parties except as expressly permitted by your plan (for example, agency and white-label features); or
- use the service in a way that breaches the terms of the underlying AI providers.
6. Your content
You retain ownership of the brands, prompts and other content you add. You grant us the licence needed to process that content to operate the service, including sending prompts to AI providers. You are responsible for ensuring you have the right to submit that content.
7. AI-generated output
Citality reports on answers produced by third-party AI models. Those answers can be inaccurate, incomplete or inconsistent, and can change over time. Citality's results are provided for informational purposes only and are not professional, legal or financial advice. You are responsible for how you interpret and act on them.
8. Third-party services
The service depends on third-party providers (including AI model providers, Stripe and hosting providers). Their availability, behaviour and pricing are outside our control, and changes on their side may affect the service.
9. Availability
We work to keep Citality available and reliable but provide it on a commercially reasonable-efforts basis, without a guaranteed uptime unless separately agreed in writing.
10. Intellectual property
We own the Citality platform, software and brand. These Terms do not transfer any of our intellectual property to you.
11. Disclaimer of warranties
To the maximum extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, whether express or implied. Nothing in these Terms excludes rights you have under consumer law that cannot lawfully be excluded.
12. Limitation of liability
To the maximum extent permitted by law, Otron Pty Ltd will not be liable for indirect, incidental or consequential losses, and our total liability arising out of or relating to the service will not exceed the fees you paid to us in the twelve months before the event giving rise to the claim.
13. Termination
You may stop using Citality at any time. We may suspend or terminate access if you breach these Terms or use the service in a way that risks harm to us, other users, or third parties.
14. Changes to these Terms
We may update these Terms from time to time. We'll update the date above and, for material changes, provide reasonable notice. Continued use after changes take effect means you accept them.
15. Governing law
These Terms are governed by the laws of Australia, and you submit to the non-exclusive jurisdiction of the Australian courts.
